OC&C delivers due diligence for two international deals

M&A experts from OC&C Strategy Consultants have contributed to two international deals. Client Colombini Group purchased Bontempi Casa Group in Italy, while in Australia, Quadrant Private Equity invested in Papinelle Sleepwear.

In Italy, OC&C Strategy Consultants was part of the buy-side team which advised The Colombini Group on its 60% acquitiison of the Bontempi Casa Group. The strategic consultancy provided the commercial and business due diligence.

Founded in 1965 in the Republic of San Marino, the Colombini Group is a leading furnishing company in Italy. With its own brands Rossana, Febal Casa, Colombini Casa, Offic’è and Colombini Group Contract, the group boasts a productive surface of approximately 250 thousand square metres and a distributive network of more than 4,000 points of sale.

OC&C delivers due diligence for two international deals

The company it acquired, Bontempi Casa, is a smaller counterpart that from the Marche region (based in Camerano) that produces furniture and accessories for the living and sleeping areas, through the Bontempi Casa and Ingenia brands. The company generates revenues of around €35 million.

Commenting on OC&C's support,  Alberto Regazzo and Marco Occhetta said, “We are pleased to congratulate the Colombini Group on its recent acquisition of Bontempi Casa Group… The acquisition will support international growth and build an enhanced footprint across the premium design space.”

Other dealmakers that worked on the buy-side team were Ethica Group (debt advisory), Studio Canestrari & Crescentini Associati (M&A advisory), BNM (legal advisory) and Fieldfisher (legal advisory).

Seller Bontempi Casa was assisted by Studio Legale Sabatini for legal matters and by CF&S for due diligence and M&A support.

A deal down under

Meanwhile, on the other side of the world, OC&C Strategy Consultants teamed up with local OC&C partner Australian Strategy Partners to advise Quadrant Private Equity on its investment in women’s sleepwear and loungewear label Papinelle.

The two strategy consultancies delivered the commercial and technology due diligence. The Australian Strategy Partners team was led by Maurice Violani, Julie Preston, Mark Blackwell and Jeremy Barker, while OC&C's team consisted of fashion and retail experts Coye Nokes and Deidre Sorensen and an analytics team led by James Walker and David Zdravkovic.

Founded in 2003 at Sydney’s Paddington Markets, Papinelle is now an international sleepwear and lifestyle brand, selling its clothes online via its own website and others, and in bricks and mortar retail stores. Its products include pyjamas, nighties, robes and underwear, with its pyjamas mostly selling for $80 to $200 via the company’s website.

The deal sees Papinelle’s current shareholders – Renae James, Nicole Kelly and John Kelly – invest in the company alongside the private equity group. Quadrant’s Simon Pither and Louise Haslehurst will join Papinelle’s board as part of the transaction.

Other buy-side dealmakers were PwC and Hamilton Locke, while seller Papinelle was supported by Montarne Capital Partners, Mayne Wetherell and BDO.
