A&M is delighted to launch our Special Situations M&A team as part of our market leading Restructuring & Turnaround practice. This is a dedicated team with a national network of support across A&M’s offices. We are ambitious and keen to grow our team and seeking to recruit exceptional Special Situations M&A professionals to join us at both Associate Director and Manager levels. This is a unique opportunity to join an established and successful global Restructuring practice and play an instrumental role in building a new practice area.
Typical projects include;
- The sale of distressed companies or assets through full or part disposals
- Assisting distressed corporates with turnaround support including M&A
- Advising banks/creditors with M&A or refinancing options for their distressed assets
Responsibilities
- Work with Partners & Directors on high profile engagements, managing team members, coordinating deliverables, communicating issues and driving projects to completion with limited supervision
- Lead the development of sell side and buy side proposals, sales processes, documentation & business models leading to the negotiation & agreement of commercial terms
- Develop technical and commercial understanding of SPAs & other legal documents & liaise with external advisor groups including lawyers, due diligence and tax providers
- Demonstrate professionalism and confidence to deal with a range of stakeholder groups and management teams
- Contribute to people initiatives & develop junior colleagues through effective coaching and mentoring
Previous experience
- Experience of leading M&A assignments in a restructuring context at Manager or Assistant Director level within a leading advisory team
- Strong academic track record and professional accountancy qualification (ACA, ACCA or equivalent), JIEB or MBA is desirable
- Understanding of technical insolvency processes, including pre-packs, CVAs and trading administrations is advantageous
- Display a high level of commercial acumen, and an awareness of the key drivers of corporate failure or underperformance
- Experienced in the preparation and presentation of findings clearly in written reports and other client deliverables
- Strong project management skills, with the ability to manage more than one assignment at a time and yet still demonstrate quality and consistency of performance in every task
- Adapt well to change and have a flexible and positive approach
- Be able to build effective relationships at all levels
- Strong appreciation of risk management and knowing the appropriate time to consult
